How much for 2002 E320 with 5k miles?

How much for 2002 E320 with 5k miles?
Dealer has one that has been used as a demo and wants to sell it. What do you think a fair price is for it? It has a BOSE stereo and the black coloured wood. The car is silver and the seats are grey. Wheels are bigger and have low profile ContiSports. Other than that it is very basic. They have already offered to throw in a CD player.

bid him 40k, if you can wait it out a bit, auto manufacturers near panic out there with weak economy. also plenty of trade ins on way from w211, and huge wall street layoffs this year will keep all these cars coming out of the woodwork in nyc area. btw, got my e430 2 months ago ,with 6k on clock for at least 10k under MSRP.

Many people gets confused with special edition and regular edition.
Special edition MSRP is $49115. Granted, if you add up the metallic paint, E2 package on top of a regular E320, the MSRP is closer to $51,450. There are also MSRP add-on like color scheme that is generally of no value for a car sitting on a lot but dealers won't (they claim they cannot) take off the invoice. Color schemes is a good way to tack on another $1000+.
We do feel like we got $10k off the MSRP when compared to the regular edition, but on the record, special edition, it is only $7k off the MSRP.
Do note special edition you don't get much choices of colors....
