I am looking at a 2007 m350 being sold by a private seller . It has 39k miles with pemium2 package and the rear video player and appearance package with 19 inch rims. The seller wants $33500. What is a fair price for this car?

I have seen some cpo cars for that price.

I've seen ML 500 with 40K for around that price. Of course its tough to arrive at a price w/o seeing car in person, driving it and having it inspected.
