Want to Lease E320 CDI - MB Lease Specials?

I am interested in leasing an E320 CDI. On my dealers website (and MBUSA.COM) they are offering the following "Special Lease Offer"

$549 Monthly Payment
39 Month Term
$2800 Down Payment
NA Security Deposit
10000 Annual Mileage
Restrictions Lease is based on the 2006 E320 CDI Sedan with optional premium package.
Comments $4,144 is due at signing. Incentives may vary; see your local dealer for details. Tax, tags and insurance are extra.

$795 Acquisition Fee + $549 First Month Payment + $2800 Cap Cost Reduction = $4144

I have a few questions:

Is this a good deal? I have two local dealers, will they both give me this same deal? Can I still negotiate the price of the car? Wouldn't that reduce the payment? This offer ends March 31st. I really wanted to wait until April 10th, it is not a huge deal but do they offer similar programs every month?

I have a 740 middle score.

I have been doing my lease research but am still a little green on the whole subject.

Well, there are some items missing to determine how well you are doing. You will need to know the money factor and residual value.

Yes, negotiate the purchase price as this can have the most dramatic affect on your payment. And DON'T put money down on a lease. See this:

Your credit score is good so you shouldn't have a problem qualifying for the best rate.

If the money factor is .0004 and not .004 then that is excellent!
