330 is slightly faster
because of the faster throttle response
but if you put a sprint booster on c320, i would guess they will be similar in performance because sprint booster removes the throttle response mercedes has.
but 330 interior is not as lux as c320

Good luck finding a new car. Personally why buy an older C-Class just to spend the money to upgrade it to the 2005+ look?? Just buy a slightly newer one. I got my 2005 C240 4Matic with only 10,000 miles and 1 year old for $27,000. It came with all the warranties and CPO as well.
Also it might be tough to find a C-Class with all the options, most C-Class come with only the Sunroof package and nothing else, unless its a custom order. Very few with COMAND/Xenons that were just ordered by the dealer. All of the C-Class do have the folding headrests btw, and the Sunroof package is on almost all of them which includes the rear sunshade.
I would definately spend the extra money and get a 2005+, there were so many updates that really make the car that much better.
