Which C32 would you pick?

Which C32 would you pick?
Hi, I live in CA and am thinking of getting a C32 (not to replace my E55 of course 
) for my commute car (totaled my '02 540i couple months ago)....
So, I've found two C32s in Jacksonville, FL (nothing good in CA).... which one would you choose if you were me?
2002 C32 $31.9K
or
2003 C32 $35.9K
Questions:
- Will I miss a lot if I don't get the C4 lighting package? What's included anyway (bi-xenon?)?
- Do I need to have any concern w/ 2002 MY (1st year in production)?
- What's the difference between 2002 and 2003 (more standard options?)?
- What's the fair price for these cars? Is $33K a fair price for the 2003?
- How about the dealer (World Imports)? Are they honest? Good price?
Last but not least....
Anyone in Jacksonville could help me look at the car?

I am in Jacksonville, FL and looked at these cars. Both are manufacturer buybacks (Lemons - dealer then bought them from MBUSA) the sliver one having its transmission replaced and the black one because of engine hesitation/loss of power. I only looked at the cars but did not test them so I can not tell you how they perform. I can tell you that they are in excellent condition.
The prices are rather high for these two cars (I think) and World Imports probably do not negiotiate that easily (from my experience). They sell alot of high end used cars so they have experience there.

Thanks!!!! Glad you looked at the cars..... I don't even dare to spend $20K on these cars then..... I never like lemons....
A month ago, I was offered by a friend of mine who has a dealer in TX..... 2005 997 C4 fully loaded w/ only 2000 miles but lemon (no clue what was wrong).... he offered me for $75K (new sticker says $99K)..... and indeed the car sold couple hours later for $78K. Still.... no regret.

Yep, I was disappointed when I found out they were lemons when I was looking at them. I'm not surprised that these cars have been on the lot for almost 6 months at World Imports.
