Cannot Open Doors! At All!
I have a 2002 CLK320 that was operating fine on Thursday. On Friday I get in my car and it will not start. The dash lights and radio turned on briefly before cutting off, and I had my battery replaced about a year ago, so I thought my problem may be the starter. There was a long beep that sounded for a little bit, but I could not tell where it came from. I went in my house while I waited on someone to come get me to take me to work, and when I went back out my keyless entry on the IR remote no longer worked. I took the manual part of the key out to unlock my door and that would not even work, so I am COMPLETELY locked out of my car! The light on my key fob still works so it's not the battery in that (I also tried both key fobs), but all that will unlock with the manual key is the trunk. I have NO clue what to do and I cannot even get into my car. I am begging for some help!

Sounds a lot like the battery has lost it's charge.
Since you can get in the trunk, try putting a charger on it or getting a jump start (MB roadside service will do this).

The folding seats are totally mechanical I believe. There should be no power needed to fold those down. It's possible that the seat belts are holding them vertical.

I have an 02 320 and the seats do fold down. If you look behind the handles there is a cable system similar to brake cables on a bicycle. A cable may be disconnected thats why they won't open. Also the seats may already be unlocked so try just giving them a push.
