I test drove a 2014 E350 Convertible with around 22k miles on it before I bought my E550 Coupe and while my wife loved it I really didn't like it. The problem with it is cowl shake. It has it. Plus, the car just isn't as structurally sound as the coupe is so it will be prone to more squeaks and rattles than the coupe over the long term. I owned a convertible many years ago so I'm familiar with what it's like to live with one on a daily basis. They are a couple hundred pounds heavier than the same car in coupe form, the chassis isn't as rigid and they develop squeaks, rattles and leaks (maybe not Mercedes but the one I owned sure did).
Other than that there really isn't anything inherently wrong with them. Just make sure to give it a good test drive and see if you notice anything that might be a game stopper for you. Get it up to freeway speeds and do a few fast stops to make sure the brakes don't have any vibrations in them because if they do you'll need new rotors and that's not cheap. If it isn't CPO definitely have an independent mechanic look it over for you.
$45k seems about right for a CPO car at a Mercedes dealer but I would still see if you can get them to knock that price down a bit. I prefer the peace of mind of CPO myself.
Also, see if there are any others in the area you can go test drive just to compare.
