the CLS, now that is a MANS car. absolutely wicked.

I'm recommending my dad to sell his 05 E320 once the warranty is up and grab a 06 + CLS. What is the reliability history on them vs the w211 ?

Probably the CLS would get more hits to the bumpers as those reach further. Otherwise the reliability should be the same as those are just about the same car.

Why not have him exend the factory warranty though MB, up to 3 years 100k miles, it will be much less than selling his can and buying a CLS.

If he likes the car, then ditto on the extended warranty. Make sure it is an exclusionary policy like the extended plan from MB. Also shop around the dealers on price. You can really bargin here. I decided to buy the Mercury exclusionary plan for 100K miles and it cost $2600. It covers everything the MB policy does to a "T". My dealer has a direct relationship with Mercury as well. I actually bought the policy from a Mitsubishi dealer. Same darn policy with a lot less mark-up.

Most of these policies are transferable, and that will help with resale - Big Time.

The 05's are good cars. An 03 might be worth considerig something new, but 05's are much better quality wise. IMHO.
