Honestly engine swaps on a MB tend to get expensive so make sure to do your research first. You will need someone who knows what they are doing with a star computer and may need a new ECU (not really sure if you can take a 240ecu and update it to the 320 or not)
The transmission will be fine and since it is the same basic engine should bolt up and be fairly simple.
To be honest before drooping a new engine i would figure out why it cuts out as you don't want to put a new engine in and have the same issue.

If it runs better with the MAF unplugged it is probably a bad MAF. When the car can't detect the MAF it falls back on to default values so it will run ok. Get a new one and make sure it is no an aftermarket one as they are usually junk. Also make sure it is not the VW one as it looks the same and will fit but won't work properly.
