I would strongly doubt it...without major mods underneath. I just replaced a 00 ml320 with a 03 ml350 and I had to replace both the flares and the step bar as they would not fit.

thanks for letting me know, I was about to purchase the running board from pre 00' ML surplus. I guess I go with 03 OEM.
