You don't say where you are or what the tax rate is. But assuming about 9% $38K doesn't seem like a good deal on a three year old car. New leftover 09's are selling ofr $12K off list because of the $8K MB incentive.

nj 7% sales tax. unfortunatley i believe the MB incentive is over and there are no 09 Bluetec left.
