Just out of warranty and the ML350 tranny has to be completely rebuilt, costing me 5K. Anyone hear a story like mine? Do I have any recourse with MB USA?

It's a 2007. All scheduled maintenance was done by the dealer. I've never towed a boat or anything. 55K miles is way too short a lifespan for a Merc transmission.

How do you know that the transmission needs a rebuild? Did the same dealer diagnose this?
I agree with you it is too short of a lifespan.
call them and complain, see what happens - loudest bird gets the worm
Im surprised your dealer did not fix it, just bill Mercedes under another vin # or such as they sometimes do to keep your business
