2010 or 2008 CPO
2008 CPO with 30+ Miles or brand new 2010 ML 350 (assume similare configuration - P1)
1. is there anything different in 2010 from 2008?
2. if 2010 then is it right time or should wait more in anticipation of "factory-incentives"

Also, from personal experience: I had a 08 GL which was similar to the 08 ML. The 08 was great, although the styling was a little bit awkward and the Navi system was hard to use, although the screen did not scratch when cleaned. My 2009 (previous car, but same nav as 2010) & 2010 GL has better Nav, but it scratches real easily. Also, the 08 vehicles have smaller side mirrors compared to 2009 and 2010. If I were you, I would go for the 2009 ML since its cheaper and there are a lot more features compared to the 2008 model year.

i would get the '10 instead of a 09 to get the memory seats, park assist mirrors, and i think they are power folding as well. the little extras are nice!
