Negotiating with Mercedes on a 2014 ML?

Negotiating with Mercedes on a 2014 ML?
I'm looking to purchase a 2014 ML350 with 21k miles and the dealer has it listed at $44k. I went to a few dealerships in town and they said that they refuse to negotiate on the prices of used cars, however, this mercedes dealer is a little farther away, but even on the phone the salesman was willing to negotiate. How should I go about negotiating the price. I would love to get the car down to $40k, but that is extremely unlikely. I was thinking that they would settle around $42k. Any suggestions on negotiating?

Once you know the specific options this ML has - I would suggest you use edmunds.com - under "Research" section and see what their 3rd party/impartial Certified Price is shown - if you get that/better than you know starting off - gives a way to "judge" a good/great deal or not.
