fwiw, the price seems a bit high for the mileage.....
when somebody buys from a private party, they expect to pay CONSIDERABLY less than buying from a dealer. a private party doesn't have to pay for a huge dealership, employees, etc, and turn a profit to stay in business. also when u buy from a dealership u have an actual physical address to go back to if you have a problem (found several small "issues" with my E63 in the first month, the dealership bent over backwards to make everything right). I talked to a couple of private sellers, but they had unrealistic ideas of what their car was worth, this isn't the case with a dealership, because they have NO emotional attachment. generally, unless it is a very rare car you are selling, it is difficult to get "top dollar" selling your car yourself.
and right now 07 E63's aren't that rare.....
and this is the biggest deal killer: mercedes has been offering KILLER finance rates on CPO cars. I got 1.99% for 66 months on mine with NO MONEY down!!! I usually make a substantial downpayment, or buy my cars outright, but this offer was too good to pass up! and the dealership was definitely in a mood to deal (just as the infinity dealer was when I bought a QX56 for my wife last year - the economy has impacted them too
).
I would suggest you take the car to Carmax and tell them you would like to sell it to them. they will make you an offer that will be about 4-5k LESS than they will be actually selling the car for (no-haggle pricing). THEN you will have a very accurate idea what you might sell the car for on the private market, probably 2-3k more than they offered you. just an idea for getting a good real world local idea of price.

Looks like n2play was actually right on in his assessment, never understood why he was being accused of trolling. (the second and third quote above were in direct reference to n2play's post, first post above)
even 4 months later the car hasn't moved for what seems to be a reasonable price. it may have to go down to 42k as predicted.
I think whats making it hard to sell is there seem to be so many W211's available. The doctor in Minnesota selling his 2009 with onk 4k miles for 65K has got me wishing I hadn't pulled the trigger on my 07 CPO'd car at the dealer a few months ago.......

did you consider going to Carmax to get a purchase offer? having sold 2 of my old cars to Carmax I find they are pretty fair, they will generally try to resell your car for 10-15% more than they offer you, which is, with some exceptions, about the maximum you could expect to get in a private party purchase (but you will have to work for that 10-15% over their offer, as there are many "joyriders" and people happy to waste your time who don't have a prayer of financing or affording this type of car.
hope this helps, good luck!
