Help with electronics! Car in "sleep mode" after removing key.

2007 S550 GOS INTO SLEEP MODE AS SOON AS I TAKE THE TRANSPONDER OUT OF THE DASH NOTHING WORKS UNTIL I PUT IT BACK IN. The remote will not unlock or lock, the soft close doors go dead. It's as if the whole car is dead.
Once i put the key back in, the dash makes a unusal flash Then it's almost as if it reset everything. The clock winds back, the radio stations are all reset. Has anyone had this problem? Please help.

You know there are two batteries in the car: one in the front (for starting), one in the trunk (consumer) later models have a different config with a smaller 2nd battery etc.
