Fair Price Or Great Price?
Well, I've been offered a Starmark certified 2005 E55 with the following options?
Phone system with VCS
Distronics
Parktronics
Rear side shades
Power Rear shades
Lighting Package
Active seats
Tire monitor
DVD Command Nav
6 disc
electric trunk
keyless go
22k miles for around $76k?

2007 S65, 2005 Nissan Armada
I bought my '05 in may with 1900 miles for 85,500 it has everything except phone, sunshades, and Sirius (i added it later). I think that is a fair price, the miles are high but it will be tough to find another car with all those options. The only thing you're missing is Pano roof which I don't like anyway. Once you have a car with distronic you won't want one without it. You're not stealing it by any means but that Starmark cert probably cost the dealer some $$.

what color is the int. and ext.? sometimes that makes a difference. For instance, a Platinum blue car with red seat inserts might not be everyones cup of tea

Since yours is certified right now, you might want to consider an extended warranty if you plan on keeping the car past 4/50k, because you won't be able to get one through Mercedes later... only Mickey Mouse companies.

The car already has the extended warranty, it's for sale by a dealer, and I was hoping to hear it was a great price... expecially with the extended warranty... it was a hook up connection from a broker buddy of mine, but just not sure if I was getting a good deal or not?

so what do you think a fair price would be? I need to make an offer on it tomorrow and this was suppose to have been a hookup, and a GREAT deal...
Oh yea it's got a Lorenser Lip or brabus rear lip on the trunk as well. I did find an 04 that has a front accident history of about $17k but the dealer said it was all cosmedic and not to worry about... it was about $65 or so with no extended warranty! But I can't find anything else around with the options I want, not in a hurry but just didn't want to pass up a good deal if I found one!

Tons of miles for the $$$
Depends whether you value low miles, new vs. lots of options. I've had deals on the table in the midwest and NE for NEW '05 at invoice or below. But, they generally are not loaded. For example, I passed on an 05, black, with only nav and cd changer for $77,500. Brand new. Its still available if you want the contact info. There is a silver 2005 in NY, a bit more loaded for exactly invoice.
And, if you're willing to go a few more bucks, I got my '06 for under invoice.
Personally, I would hold out for way fewer miles even if I went used. I was shopping hard for used (I haven;t purchased new for last 4 cars) but the spread between new and used was sufficiently small (and my concerns about the kind of beating a car like this might take given the fun of punching it) changed my mind.
And, if you're willing to go a few more bucks, I got my '06 for under invoice.

I think it's a good deal considering the extended limited warranty takes you out another year beyond the balance of the factory warranty or 100K miles. Also you at least know that it met the requirements for the certification meaning no accidents/paintwork allowed, brakes at least 50% life left, etc.

Well, I agree on the miles, but with an original MSRP of $93,870 I think a $18k hit or more is kind of a lot for a car that is about a year and half old... and the extended warranty is one of the biggest selling points along with the OPTIONS... I'm still working a few local sellers but they can't or won't touch this price for their PRIVATE owned cars without the extended warranty or the options...
So, what should I offer if members here feel this is high?
