Whats a fair price?

Im going to look at a car on monday. Its a 2005 E55 black/black with 38,000 miles. It has keyless go, ventilated seats and a few other options. It also has a daimler chrysler warranty till 2013 or 86,000. The asking price is 35,200, whats a fair price and what should i offer?
