CPO diagnostic charges ?
Certified 06 E55 with 38,000 miles and decided to have few issues looked at. The service advisor told me if they found the problem then it's all covered other wise i have to pay for all the diagnostic charges.
So is that correct or am i over reacting ?
Please advice.

The techs need to be paid for diagnostics, if the problem with the car is not covered under the CPO warranty MBUSA will not pay for diagnostics. So yes you are liable for repairs/diag not covered under warranty. CPO is a good warranty though and will most likely cover most issues.

Your service writer is correct and you are not over reacting. You would think diagnostic is covered under a CPO warranty and it is if it is a problem due to breakage. If it is a wear and tear part that is not covered, you would have to pay for the diagnostic charges. Lots of times if it isn't covered and you elect to do the repair, it is rolled over into the repair coast.
On my aftermarket warranty, shop supplies are not covered, so I have to take care of those charges.
