A resonator? I broken resonator would be inconsequential other than perhaps an exhaust leak. It could be removed and replaced with piping for $60 max.
If you're referring to a catalytic converter... there is an 80,000 mi warranty in place.

A resonator is just a piece of exhaust pipe that dampens the noise. If it is broken, simply have it removed and replaced with a piece of straight exhaust pipe, or some generic resonator. Take it to a local exhaust shop (not Midas, but a local, non-franchise, non-chain shop), and have them do it. Like I said, $60 or less if you do straight pipe.
This is proof positive that learning the basics of how a car works is essential to not getting bent over at the dealer. $1200? They shouldn't be allowed to operate.

As far as the transmission slipping, take it to an indepedent European repair shop.

In an American motor what would cause your car to run rich?

These guys are lying to you. Resonator doesn't do crap. Some people don't even have one. Some people don't even have cats. Your problem is something else.

Are they not talking about the catalytic converter? That's in line for the price.

The transmission.. what brand radiator do you have? Glycol contamination?

What transmission code did it throw? Has the transmission had it's filter & oil change at 39K miles? Check for glycol as Matt says. You should be just out of the Valeo radiator problem but might not be. Depends on date of manufacture.
