Need help
I'd leave the intake alone unless your planning on spending close to 600 on it. On my 2000 e430 I have high flow cats, 2 and a half inch exhaust, an x pipe/resonator delete, and 2 glasspacks replacing the rear muffler. Sounds phenomenal, and you can notice a small power increase.

has a cold air intake. Keep a fresh oem filter in the air box. Not K and N
Remove the secondary cats,install straight pipes with an H-pipe cross over.
It will sound nice and you will pick up a few ft lb of tq. which is what you need on the street anyway.
