If it were me I probably wouldn't buy it. I looked at the carfax and it seems it was driven 48k miles in a 10 month period between Nov 07 and Sept 08. That is some hard driving.
If I did buy it. I wouldn't offer more than $20k (probalby would lead with $18k). Although I haven't seen recent auction numbers, I suspect that is what this car would fetch at auction based on what they went for in January. Since this one has been in the dealer's inventory since September, I think they might bite at that price just to get rid of it without enduring auction fees.
To give you a reference point, I purchased a similalry-equipped and extremely well conditioned 07 E350 (although no 4matic) with 28k miles from a MB dealer for $25k last week. It's not CPO, but do get the piece of mind of buying from the dealer and that the factory warranty is still in tact.
