The Mercedes CPO warranty is purchased from MB by way of the dealer. The dealer must certify to MB that the car meets the extensive requirements mandated by the MB CPO program.
In this case, if there is something that doesn't meet MB's criteria, that is why the dealer isn't offering it with CPO. If you offer to pay for the CPO and the dealer refuses, you KNOW something's wrong.

Just because the carfax is clean doesn't mean it has never been in a accident. Look closely on the car for any paint imperfections.
Check the dealership service record and see if the car was worked on repeatedly but not enough to be lemoned.
Another car I owned was nearly totaled in a car accident 12 years ago. I ran a car fax on it out of curiosity last year and it still doesn't show any accidents in its history.
dfordham is right, ask the dealer if they would CPO it at your expense. If they refuse to do that, then something is definitely wrong with it, walk... no, run away from it.

The Mercedes Benz Extended Limited warranty is a bit more strict, it's not an all inclusive warranty it only covers named items which means if it's not on the list of items covered it won't be covered. It can be purchased for 1,2,3 additional years and a total of 75,000, 100,000 or 125,000 miles. But it can only be purchased while the original warranty still is in effect. So In theory you can have a car under some kind of Mercedes warranty for up to 7 years, 125,000 miles.
The CPO should be cheaper than the 1 year 100,000 mile Limited Extended Warranty.
