ML320
I could not be happier with my 2000 ML320.
(Bought in 2004 with 25k miles on it.)
Here's a good thread to use as a reference for your question:

Bought ours in December of 06 and it has been great. It was a CPO vehicle originally sold by same local dealer. We have had a few problems with power steering system which they have since completed although it was several trips and some heavy duty diagnosing. Traded an 04 Volvo XC90 in on it and don't regret it. Almost bought the ML when I bought the Volvo and clearly made the wrong choice, so I paid my moneys and traded across. Everyone talks of the ML being very trucklike and the Volvo as very carlike. My assessment is the Volvo drove like a big old Volvo 240. The brick. Turning radius of a semi. The ML rides about the same, is more comfortable, handles much better, turns way tighter, and with the V8 hauls you know what. I do miss the steering wheel controls for the audio and the parking sensor (that was the only option this one didn't have that I really wanted.) Advice. Drive it as much as you can. If you like it buy it. It's not perfect, but it is a very well rounded package. Get the warranty, though, as it can pay for itself and give you much peace of mind, at least in my opinion. Post pics if you end up getting it.

2001 ML320 fully loaded except the damn navigation sytem.
I had mine since january. Love every mile of it. Outside of the fuel pump problem, which i had fixed the truck is lovely. My only qualm is the gas mileage is, well, like an suv. The tank size is like 18-19 gallons, the same as my 97 diamante so i got a bigger vehicle with the same tank size, meaning more fill ups. Outside of that, i love it, and drive it all the time. Even when my wife and i go places, i always opt to go with my truck instead of her car (2000 accord).

ML320
We have two of these things (2001 ML320 & 2004 ML350 ) and love them. A few issues here and there (more the 2001), but nothing major and they are built like tanks. Great sense of security and stability in all weather, haul lots of stuff (including heavy stuff), yet fun to drive with a wonderful drivetrain. I still prefer them to any other vehicle out there.

I recommend test driving the V8. I really preferred it over the V6.....not enough power for me.
Good luck.

Forget the 02 320 and go for a 04/05 350 or 500. I owned a 02 320 which was great on gas but was sluggish and problematic - mostly electronics as you probably have experienced with your S. The 04/05 trucks are so much better built - no kidding!!!! I have had issues with the 05 500, but they are surely better put together than the 02 trucks.
