Will a '96 S420 tranny work in a '99 S420?

Uh.....NO! I went through a mess of issues when my s320 needed a new tranny. My understanding is that 97-99 are different from 92-96. I had a mechanic install a 1995 s320 trans in mine and it wouldnt work. ended up getting a 98 s320 trans to put in it. Ask a Benx mechanic that specializes in the older models. throw a 50 at him and ask 20 questions. they will be good answers since youre paying him for your time, and you will be saving/making it back really quickly.

My S320 could use a heavier transmission.You say I can use a 500s? I need it as I make 355 hp with nitrous.

The gearing is different on the [420 500 and 600] from the 280 320 and i believe the rear end will be different gearing too.
You need to install the one with matching gears or your engine will labor too much or rev too much.
1996-1999 has the 722.6 5-speed electronic transmission and will not be compatible with the pre 1996 4-speed Transmission.
Spraying NOS in a 320 is not that far from turbo charging a Honda Civic. The resources of the engine just aren't there. But whatever flips your cookie...
The reason the dealer charges a lot is because a rebuilt tranny will most likely have an upgraded conductor plate that needs to be in sync with the control module. So the TCU needs to be replaced too, another 700-800$ for part & labor.
Most of the times the 722.6 requires easy fixes if you know where to ask.
I'm fixing mine currently

agreed I rather have the stock turbocharging unit sold at dealers for the s320.Those were capable of 450 hp and reliable.

At that point, selling the 320 and getting a 600 makes more sense.
