I had a 98 E430 and now a 02 E55 and both have headliner/moonroof issues. Do a search there is further discussion on this.
The techs at the MBZ dealer called my E430 the 'decibel car' because the headliner vibrated at 40 or 50 cycles. Low bass notes made the damn thing vibrate. They removed it and added extra padding and then the damn moonroof and sunshade vibrated. Fixed one problems and started another.
Now my 02 E55 has rattle over bumps when the shade is pushed back or the moonroof is open. I guess it needs more padding.

Jam, I'll consider sending it to the dealer. Not sure if it convered by my wareentee and can imagine them hiting me with a large bill.
Kev, Everything you described is the problems I have. It is really annoying. If I wasn't so scared to take out the rear deck and head liner I would dynomat those sections. But I am affraid if I attempt to remove them, I would make things worse.

My 2002 E55 doesn't make the noise you describe at all. Did you add a subwoofer or otherwise modify the sound system?
One very annoying noise that I do hear is an ocasional slap or thud from the trunk area. I was convinced there was a bowling ball rolling around back there, but the trunk was completely empty.
I now believe that noise is gasoline splashing around in the tank! It's worst when the tank is about 3/4 full. I don't think in any of my previous 4 cars (all Acuras) did I ever hear this noise.
Anybody else ever hear this? Hope the new W211 fixes that with baffles or something.

Yes the audio system has been modified by the previous owner. Now I know the Rear Deck speakers are stock and I do not have subs. But it is possible that they took out the rear deck, but I can't imagine why they would. Come to think about it, maybe they did, I have a DVD navigation unit mounted below the rear deck. They must of have taken it out to drill the holes for the mount.
Damm. Anyone know how to take out the rear deck?

almost definately removed rear deck to install...
new speakers. you cannot get the screws thru the deck without removing it. So I bet they didnt put it back very securely or some of the material that buffers it (if suppose to be there) may be missing. Sounds like you found your culprit just have to find out how to remove the deck.

Hmm.. Didn't know there were people that specialized in Headliners etc. Going to have to do some research on this.

04 E55 tectite grey/charcol....traded 01 E55
Had both rattles in my old 2000e430 and had the rear deck rattle in my new 2001 e55. Seems to be a known problem in the E class (see edmunds.com town hall discussions). I had the rear deck rattle fixed at the dealership.
