With 77k plus miles (as he mentioned), not really... These cars are already killed by the economy and luxury depreciation but the K engines take a bigger hit with additional miles.
Here are 3 recent sales with less miles on 2005's:
01/29/09 RIVRSIDE Lease $23,500 65,340 Below BLACK 8G A Yes
01/14/09 DAYTONA Regular $26,900 66,180 Avg BLACK 8G A Yes
01/28/09 BUTLER Lease $22,000 66,327 Below BLACK 8G A Yes

Obviously not all E55s will break down or will have expensive repair bills, but the majority will at some point..... I'm friends with the shop forman (also the head AMG technician) at our local dealership, and I've asked him before how often he sees the E55s in for service, and he seemed to agree that after 60k miles, the odds of a very expensive repair bill goes up big time. Even though the engine itself is built very strong and very solid, there are other "accessories" that tend to die and are very costly to replace; for example, $3000 to replace COMMAND Navigation unit, $3500 for airmatic suspension failure, $3500 for instrument cluster replacement, $1000 to fix certain fuel lines/tank leaks (which seem to be happening more often now), and the list goes on...... and this list, of course, assumes that the major stuff stays intact (supercharger, tranny, etc....).
I try to always recommend warranty because I've learned the hardway in the past, but even if nothing breaks down, the warranty amount is a small price to pay for a little peace of mind.

My ex-W210 CD-changer broke down and dealer told me it was Fiber optical so $1k to replace..... hope my W211 won't break soon....

I would go with the 46K mile C55.
It looks to me like you have a budget and a 46K mile car is FAR less worn than a 66-77K mile car and will cost you less over the next 20-30K miles. Not to mention that a C55 is considerably cheaper to maintain out of warranty as not only are there far less bells and whistles to fail but the basic car is SO much simpler making less to go wrong. The E55 has an airbag suspension, electronic braking, and supercharger/SC support systems that can all cost you considerable $$$$ if they fail. If you can afford to pay these bills, go with the E55, if not, go with the C55. However, if you can really afford to pay these bills, spend the extra money it takes to get a 40K mile E55 which would be a wise purchase.
Good luck on your hunt!

I agree with the miles and previous comments regarding high miles, repairs etc. Take your time and look for a car that has lower miles...you should be able to find one. If you're stretching your budget for this car, be very weary that repairs could kill you... Luxurymotorsohare has an 05', black on black with 31K for 33,895. Maybe you could look at e46 M3's, you can pick them up in nice shape within your price range...just a thought.
