well i got a 05 with navi,parktronic,sunroof,push start etc with 29k miles for 35,500 u should'nt pay more then i would say 26 to 28k possibly less given the higher mileage. Good luck with the purchase.

I dont think the mileage is the most important about a car.
As long the car is well maintained not abused and in good condition as you descpribed, from $26k - $28k

You should take the car to a private indy shop to check up the car and run the ppi. Just to be safe... otherwise it will cost you approx $1500 to fix the valve gasquet.

Honestly, unless it's a CPO car that doesn't mean much. Mine came with a dead IC pump from the dealer, which I didn't discover until a month later when the weather warmed up.
A 2005 @ 80K from a dealer I would think somewhere in the $24K - $26K range, though they'll probably be asking $32K or something ridiculous like that.
If you want something with 80K, I've got a 2004 with 82K for $22,000 in the classifieds.

I'm not trying to be a smart a** but I honestly wouldn't pay anything for that car. An 80K German performance sedan is getting very "used up" at 80K miles. I would buy an older E55 with less miles and an extended warranty. If I couldn't afford that, I would buy something else altogether.

To the OP - If it checks out in a PPI and has a long warranty on it, I say go for it! Mine will be under warranty for the next 5 yrs and I'd never sell it for the ridiclously low prices theyre at now, its just worth way more, IMO.

I still dont think mileage is problem for this kind of car. However, I got 39 months unlimitted miles Chrysler warranty.

Besides, if it was raced, anyone would moddify it somehow after 80,000 miles of weekend racing posting the same times. Wouldn't you? The car is 100% stock.

As for warranty, dealer claims it should be CPO but it exceeds the max 75K qualification.

Well, I personally would not own one of these cars (regardless of the mileage) w/out a very comprehensive warranty. Obviously, its a financial decision you'll have to make. But IMO if you have the money to fix problems on a high mileage 55, you should just put that money toward one with under 60k miles and also get a Chrysler warranty until 150k miles.

Two positives going for you is the low owners, the PPI checks out, and you know the history, but as mentioned, if certain items go out the costs can get astronomical. There are many threads here on that.
I would also suggest (you probably already have) check into some good indy shops to get work done as well.
Not to dissuade you, but you can get a E55 (or E63) with a lot less miles in reasonable cost range. I don't know your budget, which is really the deciding factor in your choices. What is the most YOU are looking to spend?
I did a quickie search...
E55's: Miles range from 17K-62K prices were 31K-44K.
E63's: Miles range from 5.5K-47K prices were 38K-69K.
Just a thought...
