I'm 6'5" and the M3 was extremely uncomfortable. I also thought it was a cop magnet because of its boy racer looks.
The S4 wasn't released yet (this was Thanksgiving when I ordered it and picked up in January) for one. Beyond that, I had a friend with an existing S4 that had poor brake response and some sticking calipers. Also, the red light for all the interior stuff was irritating to my eyes.
The C32 fit me, was quick and more than sporty/handling enough for my driving. Also, it was a 4-seater so I could still take clients or coworkers out without having to pop a seat forward.

Because of the branding, performance, practicality. I am planning to get married soon and I think the C32 is a very nice "family sedan".
I have never been a BMW fan and I never will. I have too many friends with Audis and I've heard too many complaints about rattling everywhere in the cabin. I cant stand it.

I too was looking at both (I did the back-to-back drives even). Honestly, I liked the M3 too: it was fun, more like my old 540i and the SMG shifted more to my preference (compared to C32 auto).
However, this purchase is a Family Car for US. My wife wanted things like 4-doors + auto. And at the end of the day the C32 got more votes by the family (including votes for perception things like comfort, room in the backseat, etc).

The new S4 wasn't out back then. The M3 did not have the SMG II available when I was ordering, so I couldn't check it out in person + some $2-3k markup + I didn't want to be reminded on how I lost my 00 328Ci, which they basically has the same interior w/ minor detail difference + I was pretty much over with the COUPE phase at this moment. (Aug 01)
Looked at some pictures and the spec of the C32, and just fell in love with it. Two months after ordering the car I went to check out my sales's own C32 when he just got it and I was more than ever sure that this is it.
Finally received it in April 02 after my dad con me to wait for an extra 2 months.
The choice won't be different even today. I love the practicality of it, the performance of it, the ability of it to go through the twisties, and much more. Only complaint is that they should've put some 18's on it, so I won't have to save up $$ to change the rims.
when I want to check out the M3, I just stroll by my friend's house to see his M3 SMG. It's definitely more of a fun car for the weekend.

Why C32?
Not M3 - they Blow engine. Had bad experiance with BMW with my 325is...no more Bimmer for me. Period.
Not S4 - Just ended my A6 Audi lease and want to try something else. Also the RS6 is not out yet. :P
