Mercedes-Benz 2009 E-Class Pricing: E350 for $35.5K, E550 for $51K, E63 AMG for $67K
Well, all things considered, in your case I would say RESIST it then (unless your current car is unusable for some reason and you NEED to get a brand new car and $34K is all you could afford AND BMW didn't have a car within your budget that had all the features/options/dimensions you needed). Rest assured you won't see the price as low as July 2009 right now, and probably won't even after 26 days. In fact, IMO, on the 2009 E-Classes, the "moment" might be over for the general public (however there may be a few extremely desperate dealerships that want to get rid of the 2009 E-Classes, and are willing to lose major money on the vehicle just to get rid of it... but of course that is extremely YMMV). Instead, in your case, I would invest the $34K you were going to spend into a "personal BMW fund" and add to it over time. In the future, when you need a new car, you'll have enough $$$ to buy the BMW you've always dreamed about (instead of coming up short because you were driving a 2009 E-Class that you didn't even REALLY want around for a few years).

I love my '06, and there are things about it that the face-lift doesn't provide me with that keep me a bit happier with it, but all in all, MAN does it feel sh**ty to know people were/are getting brand new, final MY year W211's WITH AMG Packages (something I had to hunt down, and pay a premium for, as before '09 they are very rare and sought after in W211's) for close enough to what I paid for my car (although I did take good advantage of last years horrible Used Car economy when I bought mine).
Thanks to your thread on SD I got an Iridium Silver E350 as a dd w/ P1, walnut burl for 42.5K.
I got it Aug 1 so I missed and extra 2K in discount but it is the perfect color and I love her as a dd.
Now, what mods can I do to make her faster?
Well, this won't make your car have "faster speed", but if you feel your car's response time is sluggish, this "mod" will make your car have "faster response times":
Holy Crap you guys.....sneaky ECU reset WORKS!!!
It's probably the cheapest "mod" (FREE) and fastest "mod" (3 minutes) you can do to your car. As for other mods, search the forum and you will find there are plenty... I wouldn't do any permanent changes to your car though unless you are really sure that's what you want to do... in fact, I wouldn't do ANY changes to your car (including the free "mod" above) unless you know exactly what the mod does and you are 100% sure you want to do it (ie: read the ENTIRE thread before you "reset" your ECU/adaptive-transmission).
The most amazing thing was I happened to send in an inquiry to see if any of the units were 4matics (it wasn't clear in the inventory listing) about 8:30 Saturday evening, and I had my question answered by their Internet sales guy, Josh Smith, 15 minutes later! That's above and beyond the call of duty, so I suggest that you give Josh a call if you are still looking for one and you want a quick reply. Josh's number is 601-326-3228, and his e-mail address is jsmith@mercedesporsche.com.
For the record, I am located in Minnesota and I have no relationship with Josh. I just thought that this level of responsiveness deserved mention.
The Best of Mercedes & AMG
BTW, there are a couple of E350's in Oakland that can be had for less than 38K if anyone is interested.

I just got my E350 sport a couple weeks ago. Now you've made me start thinking again. It'd be great to have an E350 sport and also the wagon to haul stuff around. I've been to a few dealerships in SoCal and haven't seen any wagons. Is finding one of these like finding a 4 leaf clover?
Or is the incentive extra high because MB is trying to get rid of the few remaining wagons and we may see the incentive this high next month for the sedans?

Try a search on autotrader.com
Using the MBUSA search only brings up one or two nationwide. Since the dealers may have already been paid the incentive, the cars are taken out of the system - but can be had for excellent prices. As others have noted, there is additional incentive if you are a USAA member or qualify for fleet pricing.
The sedans are disappearing....quickly.
I selected the E350 sedan for this search:

Why would a dealer in socal order 4matics? Dunno...
FYI I have no skin in the game. Send me a keychain if you luck out...lol

What I'm wondering is if more '09's are Selling than '10's right now, I've seen literally maybe 2 '10's driving around in L.A, and tons of seemingly just off the lot, paper-plated '09's everywhere.
