OK, Maybe just one more time to get it closed.
I fixed it today. Here's how I did it.
I linked a YouTube video below that shows the Overhead Control Panel removal.

This is a great write up, but you cannot make the image larger showing the parts you bought at Home Depot.

See the gear shaft with a hex in it? when I operated the pano sunroof the shaft would move in and out with the clicking and the roof would try to close.
I decided that shaft shouldn't move in and out with a worm driven gear so I took out the 3 smaller screws off and pulled that cover off. It immediately occurred to me that the cover was bent!! see the center where the shaft is at, it had been pushed out slightly. on the inside of the cover there is a small race that rides against the larger gear holding it parallel with the worm gear. I inspected it and found no cracks so I decided I have nothing to lose and went over to my 10 ton press and put the cover on a flat piece of hardwood and ever so carefully I got it bent back to flat. The race inside that supports the gear is very close to being level with the outer edges of the case. I put a little synthetic grease in and on top of that race, screwed it back on and Boom it works great, no noise the shaft doesn't move in and out it just works. I suspect the roof had never been lubricated and that is what bent the drive cover as the motor and gearbox struggle to close the roof.
Still do the repair above as this will stop the gears from separating / clicking if the cover isn't bent already because the cover attaches to the frame around the gearbox.
Sorry I didn't take any pictures because I was in a hurry to get the roof closed before it rained.
Hope this helps someone

I have the problem where when the panao roof goes to close, it sticks up about an inch on the passanger side, and about 3 or 4 inches on the drivers. Can't get the thing to close and it just goes click click click, but no movement. Looks like there is a little plastic thing that is not seating right on the track. I'm going to try and take the thing off tonight in the garage. As of now I have plastic bags shoved in there so it won't rain in my car. Lucky for me there is a tropical storm in our area right now

It's an 07 E350 sport. 70,000 miles on it. First time I have had a problem. Hopefully I can take photos and show how I fixed it, or how drunk I get and start punching it.
