You are in a great spot. Pay a little bit more and get a later model. Here is a thread that talks about the differences between the 03-06 model year E55s. Be sure and pay for a CPO car. A little patience will help in choosing the right car.

I would get at least an '05.

I undrstand the E's are depreciating an average of like $700 per month.
The market is really soft right now. High 30's would be a STEAL. Get an extended warrantee. Also, does it have Navi? Like it or not, huge issue for resale.

The difference between an 04 and 05 is not much, so if I was in your shoes, I would get an 05 since there were quite a few updates made to the car.

Also, if you are going to buy something that has aftermarket parts on it, make sure you do a VIN check at MB and verify that the warranty has not been black-flagged.
