in the end, you must put a price on that value to you, its subjective. i bought a CPO two years ago for a good deal more than I would have paid at auction...but i valued the MB warranty and peace of mind (my car was originally sold and always maintained at the dealership i bought it from).

Maybe get them to come down if you offer to buy the Starmark ectended warranty. Good piece of mind and absolutely required first mod..lol.

Six months down the road, these cars have depreciated perhaps $2500 more. The one you're looking has decent miles and options, but nothing spectacular. Maybe $35K would be OK, but no more. Don't forget the CPO is only one year of warranty; it will cost you $1500 for a 2nd year, and about $2500 for 2 more years.
Above $35K you should be able to buy a 2006, recondition it, and buy an aftermarket warranty for comfortably less than you would be spending at this dealer.
I just emailed them an offer of 35K.
Has pano, keyless, sunshade, bixenon, cooled seats, keyless entry. Only thing it doesn't have that mine does is parktronic
