Rich, I have just finished replacing the self dimming glass on the drivers side mirror on my '97 E300D. The glass contains the self dimming stuff and the heating element. It connects electrically using a 5 pin connector. I can't say that your problems would be solved if you replaced the glass alone, but I do not see anything else in the mirror works, relating to the dimming or heating functions. I bought the glass from www.thepartsbin.com for $220. It looks just like the original, except that the part numbers had been eliminated using what must have been a soldering iron. Not sure I understand why they were eliminated.
To answer your original question, there are three screws holding the mirror onto the car. You would also have to unhook the spring, and disconnect the electrical wiring.
If you should want to open up the mirror, use steps 1 & 2 of the following link. This is a DIY I put together after the spring attachment on my passenger side broke. I also used the FIX on my drivers side today as it was in the process of breaking.

Nelbur, thanks for the tip. I will have to get the glass from your source and install it. I know others have this problem and your tips go a long way to solve how to do the repair.

I just had your same issue. Found a mirror at Carguts in SC. They have one more in stock. Give them a try $190bucks with shipping for the entire mirror.
